Parakeet Terms and Conditions

1. Acceptance of Terms

By accessing or using the services provided by Parakeet (“Service” or “Services”), you agree to comply with and be bound by these Terms and Conditions.

2. Description of Services

Parakeet offers lead generation and appointment-setting software and services. Parakeet conducts outbound activities to identify and engage with potential prospects within a Client’s Ideal Customer Profile (ICP) in order to secure qualified meetings with decision-makers.

3. LinkedIn Privacy Clause

Parakeet respects the privacy of its clients and their employees. Refer to the “LinkedIn Privacy Clause” section in these terms for details on the handling of LinkedIn data and messages.

4. Client Responsibilities

Clients are responsible for providing accurate and up-to-date information necessary for the effective execution of lead generation and appointment-setting activities. Clients are also responsible for complying with applicable laws and regulations related to data protection and privacy.

5. Service Limitations

While Parakeet strives to provide accurate and effective services, we do not guarantee specific outcomes, and results may vary based on various factors, including market conditions and the client’s products or services.

6. Payment Terms

Clients agree to pay for the services as outlined in the agreed-upon pricing structure. Payment terms, including billing frequency and methods, will be specified in the client’s agreement.

7. Confidentiality

Parakeet and clients mutually agree to treat all confidential information, including but not limited to trade secrets, client data, and business strategies, as confidential and not to disclose such information to third parties without consent.

8. Intellectual Property

Parakeet retains ownership of its intellectual property, including software, content, and any materials created during the provision of services. Clients are granted a limited, non-exclusive license to use the services for the duration of the agreement.

9. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Massachusetts.

10. Limitation of Liability

To the maximum extent permitted by law, Parakeet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the service; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the services; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

11. Indemnification

Clients agree to indemnify, defend, and hold harmless Parakeet, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney’s fees) arising from (a) your use of and access to the services; (b) your violation of any term of these Terms and Conditions; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your use of the services caused damage to a third party.

12. Changes to Terms
Parakeet reserves the right to modify or update these Terms and Conditions at any time. Clients will be notified of any significant changes.

14. Linkedin Privacy
Parakeet respects the privacy of its clients and their employees. With regards to LinkedIn accounts associated with client employees, Parakeet acknowledges and agrees:
Employee Data Privacy: Parakeet will not access, collect, or share any personal data, messages, or information contained within the LinkedIn accounts of client employees, except for the sole purpose of executing outbound messages to potential prospects within the Ideal Customer Profile (ICP). The client employee’s LinkedIn data will remain private and accessible only to the respective employee.
Message Information Confidentiality: Parakeet will not disclose, share, or transfer any message information, including but not limited to the content of outbound messages, received responses, or any other communication exchanged on LinkedIn, to any third party. This information will be treated as confidential and will only be used for the purpose of engaging with potential prospects within the defined ICP.
No Sharing with Third Parties: Parakeet commits not to share, sell, or otherwise transfer any LinkedIn information, including employee data and message content, to any external party without the explicit consent of the client. This includes, but is not limited to, sharing with other businesses, marketing agencies, or any other entity.
By using the services of Parakeet, the client agrees to the terms outlined in this LinkedIn Privacy Clause, and both parties agree to abide by the principles of privacy and confidentiality as stated herein.

15. Privacy
When you visit or log in to our website, cookies, and similar technologies may be used by our online data partners or vendors to associate these activities with other personal information they or others have about you, including by association with your email or home address. We (or service providers on our behalf) may then send communications and marketing to these email or home addresses.
